AGI Greenpac Shareholders Approve Rs 1,500 Crore Fund Raising Through Postal Ballot

AGI Greenpac Limited shareholders have approved two special resolutions through postal ballot voting. The first resolution approves raising funds up to Rs 1,500 crore through issuance of securities. The second resolution approves alteration in the object clause of the company's Memorandum of Association. Out of 56,285 eligible members holding 64,697,381 equity shares, 286 shareholders holding 4,27,94,949 equity shares participated in the remote e-voting process. Both resolutions were passed with the requisite majority of more than three-fourths of votes from participating members. The voting period was from October 8, 2025 to November 6, 2025, with results declared on November 7, 2025. Pravin Kumar Drolia served as the scrutinizer for the postal ballot process.

AGI Greenpac Board Approves Rs. 1,500 Crore Fundraising Plan Through Multiple Securities

AGI Greenpac Ltd's Board of Directors approved a proposal to raise funds up to Rs. 1,500 crore through various securities including equity shares, convertible debentures, warrants, and other eligible instruments. The fundraising will be conducted through permissible modes such as private placement, preferential issue, or qualified institutions placement in one or more tranches. The board also approved alteration of the main object clause in the company's Memorandum of Association to include manufacturing and dealing in metal packaging materials, particularly aluminum cans. Additionally, the board amended the insider trading code and approved issuance of a postal ballot notice for shareholder approval. The Corporate Affairs Committee has been authorized to handle decisions related to the proposed fund raising. All proposals are subject to shareholder and regulatory approvals.
