National General Industries reported a net loss of Rs. 20.8 lakhs for the quarter ended September 30, 2025, compared to a profit of Rs. 25.67 lakhs in the previous year quarter. The company forfeited 10,47,600 partly paid-up equity shares worth Rs. 10 each due to non-payment of balance allotment money by shareholders despite multiple notices.

Ashok Kumar Modi Acquires 13.16% Stake in National General Industries Through Family Gift Transfer

Ashok Kumar Modi acquired 7,27,745 equity shares representing 13.16% of National General Industries Limited through inter-se transfer from his sons Madhur Modi and Vasu Modi. The acquisition was completed as a gift without consideration, with 3,68,000 shares (8.21%) transferred from Madhur Modi on September 24, 2025, and 3,59,745 shares (8.03%) from Vasu Modi on September 25, 2025. Following the transaction, Modi's shareholding increased from 2,71,770 shares (4.91%) to 9,99,515 shares (18.07%), while both transferors reduced their holdings to zero. The transaction qualifies for exemption from open offer requirements under SEBI takeover regulations as it involves inter-se transfer among immediate relatives. The company is listed on BSE Limited.

National General Industries Promoters Transfer Combined 13.16% Stake to Immediate Relatives as Gift

Two promoters of National General Industries Limited have transferred significant equity stakes to immediate relatives through gift transactions. Madhur Modi transferred 368,000 equity shares representing 6.65% of total share capital on September 24, 2025. Vasu Modi transferred 359,745 equity shares representing 6.51% of total share capital on September 25, 2025. Both transactions were conducted as off-market inter-se transfers among immediate relatives by way of gift. The combined transfer represents 727,745 shares or 13.16% of the company's total share capital. Both promoters disclosed zero shareholding after the transfers. The company's total equity share capital remains unchanged at Rs. 5,53,02,590 comprising 55,30,259 equity shares of Rs. 10 face value each.
