RRP Defence Seeks Shareholder Approval for 100% Acquisition of RRP Drones Innovation via Share Swap

RRP Defence Limited has issued a postal ballot notice seeking shareholder approval for three special resolutions. The company proposes to acquire 100% stake in RRP Drones Innovation Private Limited through preferential allotment of 1,27,45,935 equity shares at Rs. 178 per share (including premium of Rs. 168) via share swap, totaling Rs. 226.87 crores. The acquisition involves issuing 45 shares of RRP Defence for every 1 share of RRP Drones Innovation. Additionally, the company seeks approval to increase authorized share capital from Rs. 16.5 crores to Rs. 27 crores and approval for related party transactions. The remote e-voting period runs from November 11, 2025 to December 10, 2025. Post-acquisition, RRP Drones Innovation will become a wholly-owned subsidiary. The promoter shareholding will decrease from 74.65% to 66.45% after the allotment.
