Transvoy Logistics India Reports 17% Drop in Net Profit for Half-Year Ended September 2025

Transvoy Logistics India Limited announced its financial results for the half-year ended September 30, 2025. The company reported a standalone net profit of Rs. 119.60 lakhs compared to Rs. 144.50 lakhs in the previous year, representing a decline of 17.2%. Revenue from operations increased significantly to Rs. 2,837.18 lakhs from Rs. 1,287.69 lakhs year-over-year. On a consolidated basis, net profit was Rs. 124.78 lakhs versus Rs. 42.62 lakhs in the previous year, showing growth of 192.6%. Consolidated revenue rose to Rs. 2,897.23 lakhs from Rs. 1,384.31 lakhs. The company's earnings per share on standalone basis was Rs. 4.49 compared to Rs. 2.64 in the previous year. The Board of Directors approved these unaudited financial results in their meeting held on November 12, 2025. The company reported no pending investor complaints during the period.

Transvoy Logistics Allots 35.87 Lakh Convertible Warrants at Rs 100 Each

Transvoy Logistics India Limited's Board approved the allotment of 35,86,960 fully convertible warrants at Rs 100 per warrant to 19 investors including promoters and public investors. The company received Rs 8,96,74,000 as 25% upfront payment, with the remaining 75% payable within 18 months for conversion into equity shares. Each warrant converts into one equity share with a face value of Rs 10. The allotment follows board approval on August 18, 2025, shareholder approval at the Annual General Meeting on September 11, 2025, and BSE's in-principle approval on October 7, 2025. The warrants are subject to lock-in provisions and the total aggregate consideration amounts to Rs 35,86,96,000.
