Company History

1949

  • Company incorporated on 24 December in Mumbai to manufacture transformers, electric motors, all-aluminium conductors, furnaces, H.T. airblast circuit breakers, panels and switchboards.
  • Asea Brown Boveri established as subsidiary of Swedish-Swiss ABB group operating in power T&D, industrial equipment and factory automation.

1964

  • 20,000 Pref. shares issued to collaborators; 1,20,000 right equity shares offered 1:1.

1965

  • Company name changed from Hindustan Electric Co. Ltd. to Hindustan Brown Boveri Ltd.

1976

  • 60,000 bonus equity shares issued 1:4.

1978

  • 1,00,000 bonus equity shares issued 1:3.

1982

  • Issued 1,00,000 13.5% secured NCDs as rights; redeemable from 1989.
  • Allotted 5,00,000 18% NCDs to financial institutions; redeemable from 1998.

1984

  • Project for industrial steam turbines with Gujarat Industrial Investment Corporation approved with AG Kunhle collaboration.

1986

  • Allotted 1,50,000 15% non-convertible debentures to UTI and LIC; redeemable 1933 at 5% premium.
  • 1,00,000 right equity shares issued at Rs 60 premium 1:4; shares to employees and BBC Brown Boveri.

1987

  • Set up Integra Hindustan Control Ltd. for railway equipment at Halol, Gujarat.
  • Promoted National Switchgears Ltd. with Pradeshiya Industrial Corporation for switchgears at Rae Bareli.
  • Received industrial licences for mini-computer systems, modems, power supplies, keyboards.
  • Entered collaboration with Danish Windpower for wind energy systems.

1988

  • Electronics division commissions power line carrier equipment for HVDC line.
  • Indian operations of Asea and BBC Brown Boveri merged.
  • 40,000 Pref. shares converted to 20,000 equity shares.

1989

  • First back-to-back HVDC transmission link commissioned at Vindhyachal.
  • Asea Ltd. amalgamated with Hindustan Brown Boveri Ltd. effective 1 January.
  • Company name changed to Asea Brown Boveri Ltd. effective 13 October.

1990

  • Shares subdivided on 16 March 1989; 45,85,590 equity shares issued to Asea Ltd. members in 5:6 proportion.

1992

  • 49,30,295 equity shares issued on rights basis 1:2; additional oversubscription allotted.
  • Parent company increases equity stake in ABB to 51%.
  • 2,46,515 equity shares offered to employees.
  • 47,54,734 equity shares allotted to foreign collaborators to raise holding to 51%.

1994

  • Company offers majority stake in BIFR boiler company; enters low voltage switchgear.
  • ABB Daimler-Benz Transportation AG established; Indian subsidiary incorporated.
  • Flakt India merged with ABB effective 5 October 1994.
  • New factory set up at Mysore for electronics products.

1995

  • Company awarded EPC job for integrated steel project.

1996

  • Gas Turbines commissioned for GVK Industries' combined cycle power plant.
  • Transportation business transferred to ABB Daimler-Benz Transportation (India) Ltd.
  • GVK's 235-MW Jegurupadu CCPP commissioned.
