Filtron Engineers Board Approves Major Acquisition and Capital Restructuring Plan

Filtron Engineers Limited's Board approved the acquisition of 100% share capital of Gabrielle Infra Speciality Private Limited, a construction services company with Rs. 72.24 crore turnover. The Board also approved share purchase agreements with promoters for acquiring 13,68,250 equity shares and authorized share capital increase from Rs. 3.5 crores to Rs. 85 crores, subject to shareholder approval. The company plans to issue 4.5 crore equity shares at Rs. 10 per share and 1.92 crore preference shares as part consideration for the acquisition. Additionally, the Board approved issuing 1.59 crore equity shares to non-promoters for cash at Rs. 10 per share, raising Rs. 15.9 crores. The acquisition will add construction services as a new business line, with the transaction expected to complete in 3-4 months. A postal ballot notice will be issued to seek shareholder approval for the proposed transactions.

Filtron Engineers Ltd approved its standalone unaudited financial results for the quarter ended June 30, 2025. The board appointed Ms. Saloni Sonkar as an Additional Director in the category of Non-Executive Independent Director for a 5-year term starting August 12, 2025, subject to shareholder approval. Ms. Sonkar, aged 29, holds an MBA, Diploma in Optometry, and B.Sc, with over 4 years of experience in digital marketing and strategic selling. She is not related to any directors, key managerial personnel, promoters, or promoter group of the company and is not debarred from holding director positions by regulatory authorities.
