Golden Carpets Ltd has issued an addendum to its 31st Annual General Meeting notice, scheduled for September 29, 2025, adding two special resolutions for shareholder approval. The first item seeks to increase the company's overall borrowing limits to Rs. 15 crores under Section 180(1)(c) of the Companies Act, 2013. The second item proposes raising an interest-free unsecured loan of up to Rs. 5 crores from the company's directors, with an option for lenders to convert the loan into fully paid-up equity shares. The Board of Directors approved these proposals on September 17, 2025, citing business plans, future prospects, and the need to meet working capital requirements and manage financial obligations. Both resolutions require special resolution approval from members at the AGM.
