Company History

1985

  • The Company was incorporated on 30th July.
  • The Company obtained the Certificate for Commencement of Business on 12th August.
  • The Company was promoted by Shri Harish Bhasin.
  • The main object of the Company is the business of leasing and hire purchase, merchant banking activities, dealings in securities.

1990

  • The Company received authorisation to function as Merchant Banker from SEBI.
  • The Company set up a 'Share Shoppe' to provide personal financial services and investment packages at Delhi.
  • It was proposed to appoint agents/franchisees for rendering investor-oriented services.
  • 6,60,900 No. of equity shares of Rs 10 each were allotted to promoters, directors, etc.
  • H B Portfolio Ltd. and H B Estate Developers Ltd. ceased to be subsidiaries of the company.

1991

  • The Company offered 1,12,353-14% secured fully convertible debentures of Rs 185 each on 'Rights' basis.
  • Additional 16,853 debentures were allotted to retain oversubscription.
  • 3,73,647-14% secured fully convertible debentures of Rs 185 each were issued through a prospectus.
  • Part `A' of the face value of each debenture was converted into 5 equity shares at a premium of Rs 6 per share.
  • Part `B' of the face value of each debenture was automatically and compulsorily converted into 16,76,700 No. of equity shares at a premium of Rs 25 per share.

1994

  • 20,52,840 bonus equity shares were issued in proportion 2:5.
  • 19,35,024 Rights equity shares were issued to shareholders at a premium of Rs 25.
  • 7,82,460 shares were issued to holders of `B' part of debentures.
  • 7,50,000 shares were issued at a premium of Rs 30 per share to shareholders of H.B. Leasing & Fin. Co. Ltd.
  • 67,50,000 shares were issued at a premium of Rs 50 per share to the public.

1995

  • The Company issued 3,34,84,093 - 14% FCD's of Rs 65 each on rights basis and through public issue.
  • The FCD's were converted into one equity share at a premium of Rs 55 per share.
  • The name of the Company was changed from H B Portfolio Leasing Ltd.
  • The capital of the Company was reorganised from 50,88,65,170 No. of equity shares to 2,54,43,257 No. of equity shares.

2003

  • The Board of Directors re-appointed Mr J M L Suri as Executive Director for a further period of 5 years.

2004

  • The Company received intimation from Mr. H C Bhasin, Chairman, regarding acquisition of 101,209 equity shares.
  • The equity shares of the company were delisted from Delhi Stock Exchange.
  • The company received an intimation from Delhi Stock Exchange Association Ltd. that the equity shares of the company stand delisted.

2007

  • HB Stockholdings Ltd appointed Mr. Vijay Sood as Additional Director and Managing Director for a period of 3 years
  • The Board of Directors nominated Mr. Vijay Sood as Chief Executive Officer.

2008

  • The Company increased its stake in DCM Shriram Industries Ltd. to 35,23,143 Equity Shares, comprising 23.03% of its total Equity.

2010

  • The Company appointed Mr. Vijay Sood as Managing Director.

2013

  • HB Stockholdings recommended a dividend at the rate of Re. 1 per Equity Share.
