Phaarmasia Limited Board Approves Sale of Hyderabad Property Following Shareholder Consent

Phaarmasia Limited's Board of Directors approved the sale of land and building located at Plot Nos. 16A and 16B, Phase III, IDA Jeedimetla, Hyderabad, following shareholder approval via postal ballot. The Board authorized Mr. Naga Bhaskarrao Yallapragada, Whole-time Director, and Mr. Nev Prasada Rao, Chief Financial Officer, to execute the sale agreement and related documents. Additionally, the Board authorized Mr. Maneesh Sapte, Director, to execute and register the sale deed before the Sub-Registrar. The board meeting was held on October 13, 2025, through audio-video means.

Phaarmasia Limited Seeks Shareholder Approval for ₹25 Crore Property Sale Through Postal Ballot

Phaarmasia Limited has initiated a postal ballot process for shareholders to vote on the sale of its land and building located at Plot Nos. 16A and 16B, Phase III, IDA Jeedimetla, Hyderabad. The company proposes to sell the property to Mr. Mavuluri Shyam Prasad, Mrs. Mavuluri Raga Sudha, and/or M/s MSP LAB INSTRUMENTS PRIVATE LIMITED for a minimum consideration of ₹25 crores. The Board approved this proposal on September 10, 2025, with completion expected by December 31, 2025. The e-voting period runs from September 13 to October 12, 2025, with CDSL providing the remote voting platform. The cut-off date for eligible shareholders is September 5, 2025. The company plans to use the proceeds to strengthen its balance sheet, optimize its asset portfolio, and meet general corporate requirements including capital expenditure and working capital needs. The transaction requires special resolution approval under Section 180(1)(a) of the Companies Act, 2013.

Phaarmasia Limited Reports 17.1% Revenue Decline in Q1 FY2026 Results

Phaarmasia Limited reported revenue from operations of Rs. 687.36 lakhs for Q1 FY2026, down 17.1% from Rs. 829.19 lakhs in Q1 FY2025. Total income decreased 14.8% to Rs. 718.88 lakhs. Net profit declined marginally by 2.2% to Rs. 27.02 lakhs compared to Rs. 27.64 lakhs in the previous year. However, the company showed sequential improvement with revenue up 26.6% from the previous quarter and returned to profitability after posting a loss of Rs. 52.50 lakhs in Q4 FY2025. Total expenses fell 16.1% to Rs. 687.58 lakhs. Earnings per share remained unchanged at Rs. 0.40. The company operates in a single business segment and received an unmodified auditor opinion on its unaudited financial results.
