Company History

1962

  • Incorporated on December 10 in Chennai as Kasjax Engineering Ancillaries Pvt. Ltd., member of TVS Group.
  • Main objectives: manufacture high tensile fasteners, cold formed/extruded parts for auto/non-auto applications, automotive powder metal parts.

1965

  • Changed name to Sundram Fasteners (P) Ltd. on July 13.

1978

  • Issued 280,000 bonus shares in 2:5 proportion.

1981

  • Issued 653,333 bonus equity shares in 2:3 proportion.
  • Offered 1,555,555 equity shares through prospectus at Rs. 4 premium in February 1982: 71,125 for employees, 31,250 for directors, balance for public.

1982

  • Public issue offered at least 49% of equity capital to the public.

1986

  • Issued 15% non-convertible redeemable debentures of Rs. 600 lakhs on private placement: ICICI Rs. 100 lakhs, LIC Rs. 200 lakhs, UTI Rs. 200 lakhs, GIC and subsidiaries Rs. 100 lakhs.

1988

  • Issued 19,13,332 bonus shares in 3:5 proportion.

1989

  • Issued 1,000,000 14% secured redeemable non-convertible debentures of Rs. 100 each on private placement basis.

1992

  • Set up export-oriented unit for radiator caps, oil filler caps and petrol filler caps for General Motors, USA.
  • Amalgamated with Odin Metal Powders Ltd and allotted 5,611 equity shares to its shareholders.

1993

  • Set up project for socket head cap screws at Pondicherry.

1994

  • Installed 2 MW wind farm at Muppandal, Tamil Nadu.

1995

  • Allotted 51,07,831 fully paid bonus equity shares in 1:1 ratio.

1997

  • Allotted 1,000 equity shares subsequent to RBI approval.
  • Signed agreement with General Motors to supply radiator caps.
  • Set up warehouse in Troy, Michigan for General Motors.
  • Received ACMA award for year ended March.

1998

  • Entered technical collaboration with Dura Automotive Group, USA for gear shifters and parking brake assemblies.
  • Bagged supplier of the year award for second consecutive year.

1999

  • Won General Motors Supplier of the Year award for third successive year.
  • General Motors India explored sourcing more components for Astra and Corsa models.

2000

  • Won General Motors Best of the Best suppliers award for fourth consecutive year.
  • Received ACMA Export Trophy for 1999-2000.
  • Subsidiary Sundram Numeric Ltd renamed TVS Infotech Ltd effective October 13.

2001

  • Crisil reaffirmed P1+ rating for Rs. 85 crore short-term debt issue.
  • Won General Motors Supplier of the Year award for fifth consecutive year.

2003

  • Director Shri S. L. Narayana passed away on February 15.
  • Achieved 16% growth in turnover in first five months of financial year.
  • Received approval to amalgamate subsidiary TVS Autolec Limited.
  • Subdivided equity shares from Rs. 10 to Re. 1 per share.
  • Increased authorised share capital from Rs. 120 million to Rs. 250 million.
  • Cramlington Precision Forge Ltd acquired precision forgings business of Dana Spicer Europe Ltd on December 19.

2004

  • Proposed scheme of amalgamation of TVS Autolec Limited with the Company.
  • RBI Autoparts SDN BHD became subsidiary of TVS Autolec Ltd.
  • Opened first offshore facility in Haiyan county, China.
  • Received outsourcing quality achievement award for 2003 from Saturn Spring Hill Manufacturing Company.

2007

  • Issued bonus shares in 1:1 ratio.

2008

  • Appointed Sri. M. Raghupathy IAS (Retd.) as additional independent director effective June 6.

2009

  • Approved interim dividend of Rs. 0.50 per share.

2010

  • Approved interim dividend of Rs. 0.40 per share.

2011

  • Approved second interim dividend of Rs. 0.70 per share.

2012

  • Approved interim dividend of Rs. 0.60 per share.

2013

  • Appointed Ms. Arundathi Krishna as Managing Director till 2018.
  • Approved second interim dividend of Re. 0.80 per share.
  • Approved second interim dividend of Re. 0.70 per share.

2014

  • Approved second interim dividend of Re. 1 per share.
  • Acquired equity shares in TVS Infotech Limited.
  • Approved second interim dividend of Re. 0.85 per share.

2015

  • Acquired equity shares in TVS Infotech Limited.

2016

  • TVS Infotech Limited acquired equity shares in Blisslogix Technology Solutions Private Limited.
  • Acquired equity shares in TVS Infotech Limited.

2017

  • Acquired 1,680,000 equity shares from Bleistahl Produktions GmbH & Co.

2018

  • Won Deming Prize for all seventeen plants in India.

2020

  • Received CII’s Innovative Companies Award.
  • Set up unit to produce high precision engineering components to boost exports.
  • Commenced commercial production at new SEZ plant in Sri City, Andhra Pradesh.
