BPL Limited Seeks Shareholder Approval for Rs 116 Crore Related Party Transactions

BPL Limited has scheduled an Extra-Ordinary General Meeting on November 11, 2025, to seek post-facto approval for two material related party transactions. The first involves a Rs 100 crore borrowing from E R Computers Private Limited at 18% annual interest, undertaken on September 12, 2025, to deposit funds with the Supreme Court in compliance with lower court orders regarding alleged dues to an unsecured creditor. The second transaction involves Rs 16 crores advanced to Electronic Research Private Limited for purchasing premium flats in Bengaluru, which was later refunded due to unfavorable revised terms and anticipated delays. Both transactions involve companies where Ajit G Nambiar and Anju Chandrasekhar serve as common directors. The transactions represent 73.01% and 22.24% of the company's annual consolidated turnover respectively. Shareholders can participate through video conferencing, with electronic voting available from November 8-10, 2025.

BPL Limited Promoter Group Entities Pledge Shares to Secure INR 96 Crore Loan

BPL Limited received intimations from promoter group entities ER Computers Private Limited and Electro Investment Private Limited regarding shareholding changes. The entities entered into a share pledge agreement dated September 15, 2025, effective from September 12, 2025, with Claypond Capital Partners Private Limited. Under this agreement, both promoter group entities pledged their shareholding in BPL Limited to secure obligations for an INR 96 crore loan availed by ER Computers Private Limited from Claypond Capital Partners. The agreement creates an encumbrance over BPL Limited shares but has no direct impact on the company's management or control, and no liabilities have been imposed on BPL Limited.
