Rexnord Electronics and Controls Limited executed an addendum to its Leave and License Agreement with Mr. Kundan Talwar, who serves as CFO and Promoter. The addendum adds a renewal clause to the original agreement dated January 6, 2023. Under the principal agreement, the company occupies temporary accommodation owned by Talwar for its manufacturing unit at Survey No. 62, 74, 75 & 20 in Village Devdal, Taluka Vasai, District Palghar, Maharashtra. The monthly license fee is INR 15,00,000 with a refundable security deposit of INR 1,00,00,000. Talwar holds 7,80,000 equity shares in the company and is the son of Chairman and Managing Director Kishorechand Talwar, and brother of Whole-Time Director Nainy Tanna. The renewal clause allows the company to request license extensions for mutually agreed periods. The transaction is classified as a related party transaction conducted at arm's length.
