Rexnord Electronics Adds Renewal Clause to Property License Agreement with CFO Kundan Talwar

Rexnord Electronics and Controls Limited executed an addendum to its Leave and License Agreement with Mr. Kundan Talwar, who serves as CFO and Promoter. The addendum adds a renewal clause to the original agreement dated January 6, 2023. Under the principal agreement, the company occupies temporary accommodation owned by Talwar for its manufacturing unit at Survey No. 62, 74, 75 & 20 in Village Devdal, Taluka Vasai, District Palghar, Maharashtra. The monthly license fee is INR 15,00,000 with a refundable security deposit of INR 1,00,00,000. Talwar holds 7,80,000 equity shares in the company and is the son of Chairman and Managing Director Kishorechand Talwar, and brother of Whole-Time Director Nainy Tanna. The renewal clause allows the company to request license extensions for mutually agreed periods. The transaction is classified as a related party transaction conducted at arm's length.

Rexnord Electronics and Controls Limited's Board of Directors approved unaudited financial results for the quarter ended June 30, 2025, and scheduled the 37th Annual General Meeting for September 30, 2025. The company reported standalone profit of ₹154.78 lakhs for the quarter, compared to ₹109.98 lakhs in the previous quarter and ₹181.71 lakhs in the same quarter last year. Total income from operations was ₹3,154.65 lakhs. On a consolidated basis, the company posted profit of ₹151.54 lakhs. Rexnord Electronics & Controls reported Q3 FY25 results with revenue at ₹23.87 crore, up 5.76% YoY, and profit at ₹0.76 crore, down 39.68% YoY. EPS decreased to ₹0.61, a 43.52% YoY decline. Operating income fell 15.73% YoY, while SG&A expenses increased 36.11% YoY.
