Variman Global Withdraws Acquisition of Cultnerd IT Solutions on Share-Swap Basis

Variman Global Enterprises Limited has withdrawn its proposal to acquire 7,600 equity shares of Cultnerd IT Solutions Private Limited through a share-swap arrangement that was approved at an Extraordinary General Meeting held on 05.07.2025. The preferential issue on swap basis did not materialize and lapsed despite receiving in-principle approval from BSE Limited on 24.11.2025.

Variman Global Enterprises Reports Quarterly Financial Results for Period Ended September 30, 2025

Variman Global Enterprises Limited announced its unaudited standalone and consolidated financial results for the quarter and half year ended September 30, 2025. The company's board meeting was held on November 13, 2025, where directors approved the quarterly financial statements along with limited review reports. The consolidated results show total income of Rs. 3,311.06 lakhs for the quarter, with revenue from operations at Rs. 3,205.28 lakhs. The company reported a net profit of Rs. 208.49 lakhs for the quarter on a consolidated basis. On standalone basis, total income was Rs. 644.14 lakhs with revenue from operations at Rs. 525.74 lakhs, resulting in a net loss of Rs. 0.03 lakhs for the quarter. The financial statements include results from four subsidiary companies: Verteex Vending and Enterprises Solutions Private Limited, Straton Business Solutions Private Limited, V Joist Innovation Private Limited, and Copact Edtech Private Limited. The results were reviewed by independent auditors MM Reddy & Co., Chartered Accountants.

Variman Global Enterprises Cancels 2.7 Crore Convertible Warrants Worth Rs 53.96 Crore

Variman Global Enterprises Limited cancelled 2,69,80,000 convertible warrants after warrant holders failed to exercise their conversion option within the stipulated 18-month period ending November 10, 2025. The warrants were originally allotted to non-promoters at Rs 20 per warrant on a preferential basis. The company forfeited the upfront amount of Rs 13,49,00,000 paid at the time of allotment. No warrants were exercised during the conversion period, and the cancellation does not result in any change to the company's capital structure.
